Condizioni Generali di Vendita

PREMESSE

I presenti termini e condizioni disciplinano le vendite dei prodotti sul Sito www.italianstileb2b.it ne regolano l’utilizzo. Il Venditore si riserva il diritto di modificare o aggiornare le presenti Condizioni Generali di Vendita e la Privacy Policy; dette variazioni prevalgono su quanto precedentemente previsto. L’Acquirente è tenuto a leggere attentamente i Termini e Condizioni che sono stati messi a sua disposizione sul Sito, al fine di consentirne la conoscenza nonché la memorizzazione e la riproduzione da parte dell’Acquirente ai sensi dell’articolo 12, comma 3, del Decreto Legislativo 9 aprile 2003, n. 70. I contratti conclusi con il Venditore attraverso il Sito sono disciplinati dal diritto italiano. Di seguito si riportano le Termini e Condizioni di vendita applicabili a qualsiasi Prodotto venduto sul Sito e ad ogni contratto di compravendita di gioielli concluso tra Acquirente e Venditore.

L’utilizzo del Sito per l’ordine o l’acquisto di prodotti implica l’accettazione, da parte degli Utenti e degli Acquirenti, delle presenti Condizioni generali, dei Termini d’uso del Sito disponibili all’indirizzo www.italianstileb2b.it e della Informativa sulla privacy, disponibile all’indirizzo www.italianstileb2b.it, qui richiamati integralmente, nonché di altri avvisi che potrebbero essere pubblicati sul Sito nel momento in cui viene inoltrato un ordine e infine di tutte le leggi e i regolamenti applicabili

ART. 1 – Definizioni.

Ai fini del presente contratto, si intende per:

Venditore: ITALIANSTILE S.R.L. con sede in Via dell’Artigianato n.13, 36043 Camisano Vicentino (VI) iscritta presso la Camera di Commercio di VICENZA, REA VI-226033 C.F. e P.Iva IT02363660248.

Termini e Condizioni Generali di Vendita o Contratto: l'insieme delle presenti clausole contrattuali che determinano e definiscono i rapporti tra il Venditore e l’Acquirente.

Piattaforma o Sito: il Sito www.italianstileb2b.it

Utente: qualsiasi soggetto che accede al Sito e ne continua la navigazione

Acquirente: qualsiasi soggetto che inoltra un ordine di prodotti tramite il Sito.

Prodotti: beni, nello specifico gioielli, proposti in vendita tramite il presente sito.

Ordine di acquisto o Ordine: la proposta di acquisto effettuata dall’Utente attraverso le procedure del Sito ed in particolare tramite il Carrello.

Acquisto: l'acquisto oneroso dei prodotti di cui sopra dal giorno della conclusione dell'acquisto ovvero dal momento in cui perviene all’Acquirente la Conferma d’Ordine da parte del Venditore.

Carrello: la fase della procedura di acquisto in cui l’Utente formula la propria proposta di acquisto.

Conferma d’Ordine: la comunicazione e-mail inviata dal Venditore all’Acquirente per confermare l’Ordine di Acquisto.

ART. 2 - Oggetto e Ambito di Applicazione.

2.1. Le presenti Condizioni Generali di Vendita riguardano i prodotti di cui al successivo art. 3 e sono valide tra il Venditore e qualsiasi Utente che effettua un acquisto sul Sito.

2.2. Con il contratto di vendita il Venditore vende e l’Acquirente acquista a distanza tramite strumenti telematici i beni (gioielli) rappresentati e posti in vendita sul sito www.italianstileb2b.it

L’Acquirente prima di perfezionare la procedura d’Ordine si obbliga a prendere visione delle caratteristiche dei beni che vengono rappresentati e posti in vendita sul sito internet www.italianstileb2b.it.

2.3. Prima di perfezionare la procedura d’Ordine, con conseguente obbligo di pagamento, l’Acquirente si impegna ad informarsi:

– sul prezzo totale dei beni comprensivo delle imposte, e su ogni eventuale altro costo;

– sulle modalità di pagamento;

– sui tempi di consegna della merce;

– sull’esistenza della garanzia legale di conformità per i beni acquistati;

ART. 3 – Descrizione dei Prodotti

3.1. Il Sito si occupa di proporre in vendita gioielli all’ingrosso in regime di Commercio Elettronico. Le informazioni relative ai Prodotti, con i relativi codici di prodotto, sono disponibili sul Sito dove l’Acquirente troverà il dettaglio delle principali caratteristiche dei singoli Prodotti.

3.2. Il venditore si riserva in qualsiasi momento di variare i limiti alle quantità e/o tipologia di Prodotti ordinabili on-line sul Sito. Lo stile, i modelli, i colori e i prezzi dei Prodotti descritti nel Sito possono essere modificati senza preavviso.

3.3. Tutti i prodotti offerti sono descritti e illustrati all’interno del Sito, nelle rispettive sezioni. le immagini e le descrizioni dei prodotti pubblicate sul Sito www.italianstileb2b.it hanno fini illustrativi e dimostrativi e riproducono quanto più fedelmente possibile le reali caratteristiche dei prodotti medesimi. Le fotografie dei Prodotti non costituiscono però elemento contrattuale, in quanto meramente e simbolicamente rappresentative del Prodotto compravenduto Tali immagini e descrizioni potrebbero non essere perfettamente rappresentative dei prodotti e potrebbero altresì non essere corrispondenti a quelli reali per effetto del browser Internet e del monitor utilizzato. Inoltre alcuni oggetti sul sito possono apparire leggermente più grandi o più piccoli rispetto alle dimensioni reali perché le immagini sono state ridimensionate al fine di adattarle allo schermo oppure a causa delle tecniche fotografiche impiegate. Nel caso di immagini ridimensionate, i prodotti o parti di essi possono essere raffigurati con dimensioni più grandi rispetto a quelle reali al fine di mostrarne chiaramente i dettagli, o più piccole al fine di mostrare l’articolo per intero.; le immagini devono, pertanto, essere considerate come indicative del gioiello rappresentato.

Qualora la descrizione e presentazione nel sito contenessero differenze con i prodotti reali, ciò non inciderà negli accordi contrattuali che resteranno validi, né determinerà responsabilità alcuna a carico del Venditore.

ART. 4 - Prezzi

4.1. Tutti i prezzi di vendita dei prodotti esposti e indicati all’interno del sito internet www.italianstileb2b.it, sono espressi in euro.

4.2. I prezzi di vendita, di cui al punto precedente, non sono comprensivi di IVA.

4.3 I costi di spedizione sono variabili in relazione al peso e alla dimensione della confezione e verranno comunicati dal Venditore nella Conferma d’Ordine di cui al punto 7.3

4.4. I prezzi indicati nel sito www.italianstileb2b.it, possono subire delle variazioni. In ogni caso vengono applicati all’Acquirente i prezzi pubblicati al momento dell’Ordine.

ART. 5 - Registrazione

5.1. Al fine di poter effettuare ordini presso il Sito, l’Utente riceverà da Italianstile s.r.l un link di accesso mediante il quale l’Utente potrà registrarsi e creare un proprio account, scegliendo un username e una password di autenticazione che rispetti alcuni criteri minimi di sicurezza. La password è riservata al Soggetto che effettua la registrazione e non è cedibile. In caso di furto o smarrimento sarà cura dell’Acquirente modificarla o richiederne prontamente la disattivazione.

5.2. Al momento della registrazione, l'Utente garantisce di:

- aver letto e compreso e accettato le presenti Condizioni Generali di Vendita;

- essere soggetto giuridico regolarmente registrato ed attivo;

- possedere i requisiti propri per la registrazione richiesti al momento dell’iscrizione;

- osservare tutte le norme di legge e contrattuali applicabili alle presenti Condizioni Generali di Vendita;

- essere il legittimo titolare dei dati inseriti, da intendersi veri, corretti ed aggiornati.

5.3. La registrazione coincide con l'apertura di un account. All'atto della registrazione verrà richiesto all'Utente di conferire denominazione aziendale, P. Iva, sede, indirizzo e-mail ed una password.  L'indirizzo e-mail conferito in sede di registrazione permette al Venditore di notificare all'Utente tutti i messaggi relativi ai Servizi, ai Prodotti e al Sito in generale.

5.4. È fatto divieto di utilizzare mail temporanee per la registrazione. Nei casi di abuso, il Venditore si riserva il diritto di non accettare la registrazione, revocare la stessa, nonché di provvedere alla segnalazione per l'intervento alle Autorità competenti. Tutti i dati trasmessi saranno trattati nel rispetto della normativa sulla tutela della Privacy. Il Venditore li utilizzerà per portare a termine gli ordini e solo nel caso in cui sia espresso esplicito consenso in proposito, i dati potranno essere anche trattati allo scopo di fornire informazioni sulle sue iniziative, quali novità o sconti promozionali.

ART. 6 -Procedura di Ordine dei prodotti

6.1. L'Utente, tramite il Sito www.italianstileb2b.it, potrà visionare e selezionare i Prodotti messi in vendita e descritti nelle relative schede informative.

6.2. L’Acquirente dopo aver preso visione e accettato le Condizioni Generali di Contratto e la Privacy Policy, dovrà inserire il/i Prodotto/i che ha selezionato e che desidera acquistare nell'apposito "Carrello". Una volta terminata la procedura di selezione dei Prodotti tramite inserimento degli stessi nel Carrello, l’Acquirente inoltrerà l’ordine tramite l’apposito link (“ordina”) presente nella sua area personale e l’Ordine verrà trasmesso al Venditore.

I/li prodotto/i presente/i in Carrello verrà/anno visualizzato/i nell’ area personale, all’interno della quale sarà possibile visionare anche lo storico degli ordini pregressi e ripetere ordini di Prodotti già acquistati in precedenza.

ART. 7 - Conclusione ed efficacia del contratto

7.1. Il contratto tra il Venditore e l’Acquirente si conclude attraverso le procedure d’acquisto di seguito previste.

7.2. Le Condizioni Generali di Vendita applicabili sono quelli vigenti al momento dell’Ordine e reperibili nel Sito.

7.3. Il contratto di vendita è considerato concluso con l’accettazione dell’Ordine, da parte del Venditore. L’accettazione dell’Ordine verrà comunicata dal Venditore all’Acquirente mediante un’e-mail di Conferma d’Ordine, inviata all’indirizzo di posta elettronica inserito in fase di registrazione.

La mail contiene i dati dell’Acquirente, il numero d’ordine, la descrizione e il prezzo della merce acquistata, le opzioni di consegna (presso l’indirizzo indicato dall’Acquirente o presso la sede di Italianstile s.r.l.) con la indicazione delle spese di spedizione (se la spedizione è a carico del Venditore), i tempi di consegna, le modalità e i termini di pagamento e il link per poter stampare e conservare la copia delle presenti condizioni.

7.4. L’Acquirente si impegna a leggere e verificare l’esattezza dei dati e di tutti gli ulteriori dati riportati nella Conferma d’Ordine e a comunicare tempestivamente al Venditore eventuali modifiche e/o integrazioni da apportare.

7.5. Il Venditore si riserva la facoltà di valutare l'accettazione degli ordini ricevuti e potrà rifiutare o comunque non dare corso ad ordini d'acquisto che risultino incompleti o non corretti, ovvero in caso di indisponibilità dei Prodotti o che comportino la consegna dei Prodotti ordinati in alcune aree geografiche difficilmente raggiungibili. Il Venditore comunicherà all’Acquirente l'eventuale impossibilità di accettare gli ordini ricevuti nel minor tempo possibile decorrenti dal momento in cui l’Acquirente ha trasmesso l'Ordine.

7.6. La disponibilità dei prodotti indicata nel sito deve essere considerata puramente indicativa.

Qualora, in seguito all’invio dell’e-mail di conferma dell’ordine inviata dal Venditore, si verificassero casi di indisponibilità definitiva (totale o parziale) della merce, la medesima conferma verrà revocata (totalmente o parzialmente) e ne verrà data comunicazione all’Acquirente via e mail, con contestuale restituzione di quanto da quest’ultimo eventualmente versato.

Nel caso di momentanea indisponibilità a magazzino (parziale o totale) dei Prodotti ordinati, sopravvenuta alla conferma dell'ordine inviata dal Venditore, ItalianStile s.r.l. darà comunicazione all'indirizzo e-mail indicato dall’Acquirente al momento della registrazione. In tal caso sarà facoltà dell’Acquirente, verificati i tempi di attesa dei Prodotti ordinati, attendere la disponibilità dei medesimi e quindi confermare l'acquisto oppure risolvere il contratto, previa comunicazione da inviarsi alla Società entro le successive 48 ore lavorative. In tale ipotesi, la Società provvederà all'immediato storno del pagamento eventualmente effettuato dall’Acquirente.

In nessuna delle suddette ipotesi verrà riconosciuto alcunché all’Acquirente a titolo di indennizzo o di risarcimento.

ART. 8 - Modalità e Termini di pagamento

8.1. Ogni pagamento da parte dell’Acquirente potrà avvenire esclusivamente per il tramite di bonifico bancario o assegno circolare, o infine con altro mezzo eventualmente indicato dal Venditore. Nessun altro mezzo di pagamento sarà ritenuto conforme all’accordo e perciò non sarà considerato valido.

8.2 Termini di Pagamento. Il pagamento dei Prodotti deve essere effettuato entro 24 ore dalla Conferma dell’Ordine e comunque prima della consegna, salvo diverso accordo scritto con il Venditore.

8.3. I prodotti saranno spediti solo una volta ricevuto il pagamento della merce. Il Venditore è autorizzato a trattenere la merce ordinata, ritardando la consegna, finché non ottiene il pagamento dell’intero corrispettivo previsto.

ART. 9 - Tempi di spedizione e modalità della consegna

9.1. La spese di consegna sono a carico dell’Acquirente e verranno indicate nella Conferma d’Ordine.

9.2. Il Venditore effettuerà la consegna dei Prodotti acquistati a cura di vettori specializzati, con servizio express, dal lunedì al venerdì, esclusi festivi e feste nazionali. I Prodotti spediti in Italia vengono indicativamente consegnati entro 24-48 ore dalla spedizione dell’Ordine ed entro 7 giorni lavorativi nelle zone difficilmente raggiungibili e isole. I Prodotti spediti all’interno dell’Unione Europea vengono consegnati indicativamente entro 5-8 giorni lavorativi dalla spedizione. I termini di consegna sopra indicati sono puramente indicativi e non essenziali.

9.3. Per la consegna dei Prodotti è necessaria la presenza dell’Acquirente o di un suo incaricato all’indirizzo del destinatario indicato nell’ordine

9.4. Alla consegna, l’Acquirente è tenuto a verificare la conformità del Prodotto rispetto all’ordine effettuato. Eventuali danni all’imballaggio o anomalie dovranno essere segnalati contestualmente alla consegna apponendo sul documento di trasporto la dicitura “accettato con riserva” e fornendo una breve descrizione del motivo di tale riserva.

9.5. Il Venditore non è in alcun modo responsabile dei ritardi nelle consegne.

9.6. L’Acquirente ha la facoltà di chiedere che la consegna sia effettuata a propria cura e spese tramite uno Spedizioniere dallo stesso indicato, con ritiro presso la sede di ItaliaStile.

ART. 10 - Obblighi dell’Acquirente

10.1. L’Acquirente si impegna a pagare il prezzo del bene acquistato secondo quanto stabilito nelle Condizioni Generali, salvi diversi accordi previsti nella Conferma d’Ordine

10.2. L’Acquirente si impegna, una volta conclusa la procedura d’ordine on line, a provvedere alla stampa e alla conservazione delle presenti Condizioni Generali. Le condizioni Generali sono sempre consultabili nell’apposita area presente nel sito www.italianstileb2b.it alla voce “Condizioni Generali”.

10.3. L’Acquirente dà atto che le informazioni contenute in questo contratto sono state, peraltro, già visionate ed accettate dall’Acquirente stesso, prima della manifestazione di volontà di ordinare.

ART. 11 - Fatturazione

11.1. Per ogni ordine regolarmente confermato e pagato, il Venditore emette ricevuta e/o fattura della merce spedita. Per l’emissione della ricevuta e/o fattura fanno fede le informazioni fornite dall’Acquirente all’atto dell’ordine. Nessuna variazione nella ricevuta e/o fattura sarà possibile, dopo l’emissione della stessa

ART. 12 - Garanzia

12.1. Gli Oggetti preziosi venduti sul Sito sono realizzati in piccole serie attraverso una combinazione di modalità produttive industriali, artigianali e semi-artigianali. Eventuali piccole imperfezioni non sono da considerarsi difetti bensì caratteristiche che rendono unico e autentico ogni Prodotto.

12.2. L’Acquirente ha il diritto alla garanzia legale secondo le disposizioni di cui agli artt. 1490 ss. c.c.

I reclami circa la qualità dei prodotti e la relativa denuncia dei vizi deve avvenire entro il termine perentorio di 8 giorni dalla consegna, pena la decadenza.

ART. 13 – Forza maggiore

13.1. Il Venditore non si assume alcuna responsabilità per i disservizi imputabili a causa di forza maggiore che impedissero, in tutto o in parte, di dare esecuzione al contratto nei tempi previsti. In tale ipotesi, il Venditore non è responsabile nei confronti dei Clienti per gli eventuali danni, perdite e costi subiti a seguito della mancata o ritardata esecuzione del contratto.

13.2. Il Venditore non risponde dei danni derivanti da disconnessioni, interruzioni del Sito, nonché della perdita di dati conseguentemente verificatesi e allo stesso imputabili. In caso di forza maggiore verrà sospesa l’esecuzione dell’Ordine. Tale sospensione potrà durare per un periodo massimo di 3 (tre) mesi, dopo i quali le Parti potranno decidere se annullare o meno l’Ordine.

ART. 14 - Modalità di archiviazione del contratto

14.1. Ai sensi dell’art. 12 del D.lgs. 70/2003, il Venditore informa l’Acquirente che ogni ordine inviato viene conservato in forma digitale/cartacea sul server presso la sede del Venditore stesso secondo criteri di riservatezza e sicurezza.

ART. 15 – Proprietà intellettuale ed industriale

15.1. Il Sito (ed il suo contenuto e grafica), il marchio, il nome a dominio, i relativi sotto domini e tutti i diritti di proprietà intellettuale ed industriale ad essi relativi, sono di proprietà esclusiva del Venditore, sono ad esso riservati e non sono né saranno trasferiti o concessi in licenza in alcun caso all’Acquirente. Pertanto, l’Utente o l’Acquirente non potrà riprodurre, duplicare, copiare e ridistribuire, ritrasmettere anche su altri siti web, trasferire o altrimenti rendere disponibili a terzi a qualsivoglia titolo o comunque utilizzare per fini diversi dalla conservazione e/o consultazione i Siti e/o i Contenuti del Sito, senza la preventiva espressa e formale approvazione da parte del Venditore.

ART. 16 – Legge applicabile, Composizione delle controversie e Foro competente

16.1. Le condizioni di vendita qui previste sono regolate dalla legge italiana come anche l’accordo che origini tra le parti in ragione delle presenti condizioni.

16.2. Qualsiasi controversia che dovesse sorgere in relazione alla validità, interpretazione, esecuzione e risoluzione tra i contratti stipulati dall’Acquirente con il Venditore sarà di esclusiva competenza del Foro di Vicenza.

16.3 In caso di contrasto tra le presenti condizioni e la/e traduzione/i riportata/e in calce, prevalgono le condizioni redatte in lingua italiana.

ART. 17 - Tutela della riservatezza e trattamento dei dati dell’Acquirente

17.1. Il Venditore tutela la privacy dei propri clienti e garantisce che il trattamento dei dati è conforme a quanto previsto dalla normativa sulla privacy di cui al D.lgs. 30 giugno 2003, n. 196 e successive modifiche ed integrazioni.

17.2. I dati personali anagrafici e fiscali acquisiti direttamente e/o tramite terzi dal Venditore, titolare del trattamento, vengono raccolti e trattati in forma cartacea, informatica, telematica, in relazione alle modalità di trattamento, con la finalità di registrare l’ordine e attivare nei suoi confronti le procedure per l’esecuzione del presente contratto e le relative necessarie comunicazioni, oltre all’adempimento degli eventuali obblighi di legge, nonché per consentire una efficace gestione dei rapporti commerciali nella misura necessaria per espletare al meglio il servizio richiesto (art. 24, comma 1, lettera b), d.lgs. 196/2003).

17.3. Il Venditore si obbliga a trattare con riservatezza i dati e le informazioni trasmesse dall’Acquirente e di non rivelarle a persone non autorizzate, né a usarle per scopi diversi da quelli per i quali sono stati raccolti o a trasmetterli a terze parti. Tali dati potranno essere esibiti soltanto su richiesta dell’autorità giudiziaria ovvero di altre autorità per legge autorizzate.

17.4. I dati personali saranno comunicati solo a soggetti delegati all’espletamento delle attività necessarie per l’esecuzione del contratto stipulato e comunicati esclusivamente nell’ambito di tale finalità.

17.5. La comunicazione dei propri dati personali da parte dell’Acquirente è condizione necessaria per la corretta e tempestiva esecuzione del presente contratto. In difetto, non potrà essere dato corso alla domanda dell’Acquirente stesso.

17.6. In ogni caso, i dati acquisiti saranno conservati per un periodo di tempo non superiore a quello necessario agli scopi per i quali sono stati raccolti o successivamente trattati. La loro rimozione avverrà comunque in maniera sicura.

17.7. Titolare della raccolta e del trattamento dei dati personali, è il Venditore, al quale l’Acquirente potrà indirizzare, presso la sede aziendale, ogni richiesta

17.8. Tutto quanto dovesse pervenire all’indirizzo di posta (anche elettronica) del Venditore (richieste, suggerimenti, idee, informazioni, materiali ecc.) non sarà considerato informazione o dato di natura confidenziale, non dovrà violare diritti altrui e dovrà contenere informazioni valide, non lesive di diritti altrui e veritiere, in ogni caso non potrà essere attribuita al Venditore responsabilità alcuna sul contenuto dei messaggi stessi.

ART. 18 - Cookies

18.1. Il sito www.italianstileb2b.it utilizza i “cookies”. I cookies sono file elettronici che registrano informazioni relative alla navigazione dell’Acquirente nel sito (pagine consultate, data e ora della consultazione ecc.) e che permettono al Venditore di offrire un servizio personalizzato ai propri acquirenti.

ART. 19 - Comunicazioni

19.1. Le informazioni relative ai rapporti contrattuali regolati dalle presenti Condizioni Generali di Vendita potranno essere richieste al Venditore al seguente indirizzo e-mail: mail@italianstile.net , alla pec italianstile@pec.it oppure all’indirizzo di seguito riportato:

Ai sensi degli art. 1341 e 1342 c.c., l’Acquirente dichiara di aver letto attentamente e di accettare tutte le clausole dei presenti Termini e Condizioni di vendita e in particolare quelle degli articoli: ART. 2 - Oggetto e Ambito di Applicazione. General conditions of sale

PREMISES

These terms and conditions govern the sale of products on the website www.italianstileb2b.it and their use. The Seller reserves the right to modify or update these General Conditions of Sale and the Privacy Policy; such changes prevail over any previous provisions. The Buyer is required to carefully read the Terms and Conditions made available on the Website, in order to allow the Buyer to understand, store, and reproduce them pursuant to Article 12, paragraph 3, of Legislative Decree no. 70 of 9 April 2003. Contracts concluded with the Seller through the Website are governed by Italian law. The Terms and Conditions of Sale applicable to any Product sold on the Website and to any jewelry sales contract concluded between the Buyer and the Seller are set out below.

The use of the Site for the ordering or purchasing of products implies acceptance by Users and Buyers of these General Conditions, of the Terms of Use of the Site available at www.italianstileb2b.it and of the Privacy Policy, available at www.italianstileb2b.it , herein referred to in full, as well as of other notices that may be published on the Site at the time an order is placed and finally of all applicable laws and regulations.

ART. 1 – Definitions.

For the purposes of this agreement, the following definitions shall apply:

General Terms and Conditions of Sale or Contract : the set of these contractual clauses that determine and define the relationships between the Seller and the Buyer.

User:  any person who accesses the Site and continues to browse it

Buyer:  any person who places an order for products via the Site.

Products : goods, specifically jewelry, offered for sale through this site.

Purchase Order or Order: the purchase proposal made by the User through the procedures of the Site and in particular through the Cart.

Purchase : the onerous purchase of the above-mentioned products from the day of conclusion of the purchase or from the moment in which the Order Confirmation is received by the Buyer from the Seller.

Cart:  the phase of the purchasing process in which the User makes his/her purchase proposal.

Order Confirmation: the email communication sent by the Seller to the Buyer to confirm the Purchase Order.

ART. 2 - Object and Scope of Application.

2.1. These General Conditions of Sale concern the products referred to in Article 3 below and are valid between the Seller and any User making a purchase on the Site.

2.2. With the sales contract, the Seller sells and the Buyer purchases remotely via electronic means the goods (jewelry) represented and offered for sale on the website www.italianstileb2b.it

Before completing the Order procedure, the Buyer undertakes to view the characteristics of the goods represented and offered for sale on the website www.italianstileb2b.it .

2.3. Before completing the Order procedure, with the consequent obligation to pay, the Buyer undertakes to inform himself:

– on the total price of the goods including taxes, and on any other costs;

– on payment methods;

– on the delivery times of the goods;

– on the existence of the legal guarantee of conformity for the purchased goods;

ART. 3 – Description of the Products

3.1. The Site offers wholesale jewelry for sale through e-commerce. Product information, including product codes, is available on the Site, where the Buyer will find details of the main characteristics of each individual Product.

3.2. The seller reserves the right to change the limits on the quantities and/or types of Products that can be ordered online on the Site at any time. The style, models, colors, and prices of the Products described on the Site may be changed without notice.

3.3. All products offered are described and illustrated on the Site, in the respective sections. The images and product descriptions published on the Site www.italianstileb2b.it are for illustrative and demonstration purposes only and reproduce the actual characteristics of the products as faithfully as possible. Product photographs, however, do not constitute a contractual element, as they merely and symbolically represent the purchased Product. These images and descriptions may not be perfectly representative of the products and may also not correspond to the actual products due to the Internet browser and monitor used. Furthermore, some items on the site may appear slightly larger or smaller than actual dimensions because the images have been resized to fit the screen or due to the photographic techniques used. In the case of resized images, the products or parts thereof may be depicted larger than actual dimensions to clearly show details, or smaller to show the entire item. ART. 4 - Prices

4.2. The sales prices referred to in the previous point do not include VAT.

4.3 Shipping costs vary according to the weight and size of the package and will be communicated by the Seller in the Order Confirmation referred to in point 7.3.

4.4. The prices listed on the website www.italianstileb2b.it are subject to change. In any case, the prices published at the time of the Order will apply to the Buyer.

ART. 5 - Registration

5.1. In order to place orders on the Site, the User will receive an access link from Italianstile srl through which the User can register and create an account, choosing a username and password that meets certain minimum security criteria. The password is reserved for the person registering and is non-transferable. In the event of theft or loss, the Buyer is responsible for changing it or promptly requesting its deactivation.

5.2. Upon registration, the User guarantees to:

- having read, understood and accepted these General Conditions of Sale;

- be a legal entity duly registered and active;

- possess the specific registration requirements requested at the time of registration;

- comply with all legal and contractual provisions applicable to these General Conditions of Sale;

- be the legitimate owner of the data entered, which must be true, correct, and up-to-date.

5.3. Registration coincides with the opening of an account. Upon registration, the User will be asked to provide their company name, VAT number, registered office, email address, and a password. The email address provided during registration allows the Seller to notify the User of all messages relating to the Services, Products, and the Site in general.

5.4. The use of temporary email addresses for registration is prohibited. In cases of abuse, the Seller reserves the right to refuse registration, revoke it, and report it to the competent authorities for action. All data transmitted will be processed in compliance with privacy protection legislation. The Seller will use it to fulfill orders and, only with explicit consent, may it also be processed for the purpose of providing information on its initiatives, such as news or promotional discounts.

ART. 6 - Product Order Procedure

6.1. The User, through the website www.italianstileb2b.it , will be able to view and select the Products offered for sale and described in the relevant information sheets.

6.2. After having read and accepted the General Terms and Conditions and the Privacy Policy, the Buyer must add the Product(s) he/she has selected and wishes to purchase to the appropriate "Shopping Cart." Once the Product selection process has been completed by adding them to the Shopping Cart, the Buyer will submit the order using the appropriate link ("order") in his/her personal area, and the Order will be sent to the Seller.

The product(s) in your cart will be displayed in your personal area, where you can also view your previous order history and repeat orders for products already purchased previously.

ART. 7 - Conclusion and effectiveness of the contract

7.1. The contract between the Seller and the Buyer is concluded through the purchasing procedures set out below.

7.2. The applicable General Conditions of Sale are those in force at the time of the Order and available on the Site.

7.3. The sales contract is considered concluded upon acceptance of the Order by the Seller. Acceptance of the Order will be communicated by the Seller to the Buyer via an Order Confirmation email sent to the email address provided during registration.

The email contains the Buyer's data, the order number, the description and price of the purchased goods, the delivery options (to the address indicated by the Buyer or to the headquarters of Italianstile srl) with an indication of the shipping costs (if shipping is paid by the Seller), the delivery times, the payment methods and terms and the link to print and keep a copy of these conditions.

7.4. The Buyer undertakes to read and verify the accuracy of the data and all additional data reported in the Order Confirmation and to promptly communicate to the Seller any changes and/or additions to be made.

7.5. The Seller reserves the right to evaluate the acceptance of orders received and may refuse or otherwise not process purchase orders that are incomplete or incorrect, or in the event of Product unavailability or that require delivery of the ordered Products to certain geographical areas that are difficult to reach. The Seller will notify the Buyer of any inability to accept orders received as soon as possible from the moment the Buyer submits the Order.

7.6. Product availability indicated on the site should be considered purely indicative.

If, following the sending of the order confirmation email by the Seller, there are cases of definitive unavailability (total or partial) of the goods, the same confirmation will be revoked (totally or partially) and the Buyer will be notified via email, with the simultaneous refund of any amount paid by the latter.

In the event of temporary unavailability (partial or total) of the ordered Products in stock, subsequent to the order confirmation sent by the Seller, ItalianStile srl will notify the Buyer at the email address provided by the Buyer during registration. In this case, the Buyer, after checking the lead times for the ordered Products, will have the option to wait for their availability and then confirm the purchase or to terminate the contract, by notifying the Company within the following 48 business hours. In this case, the Company will immediately refund any payment made by the Buyer.

In none of the above cases will the Buyer be entitled to any compensation or damages.

ART. 8 - Payment Methods and Terms

8.1. All payments by the Buyer may be made exclusively by bank transfer or cashier's check, or by any other means indicated by the Seller. No other payment method will be deemed compliant with the agreement and will therefore be invalid.

8.2 Payment Terms. Payment for the Products must be made within 24 hours of Order Confirmation and in any case before delivery, unless otherwise agreed in writing with the Seller.

8.3. Products will be shipped only after payment for the goods has been received. The Seller is authorized to withhold the ordered goods, delaying delivery, until full payment is received.

ART. 9 - Shipping times and delivery methods

9.1. Delivery costs are the responsibility of the Buyer and will be indicated in the Order Confirmation.

9.2. The Seller will deliver the purchased Products using specialized carriers, with express service, Monday to Friday, excluding holidays and national holidays. Products shipped to Italy are delivered approximately 24-48 hours after the Order is shipped, and within 7 working days in remote areas and islands. Products shipped within the European Union are delivered approximately 5-8 working days after shipment. The delivery times indicated above are purely indicative and not binding.

9.3. For the delivery of the Products, the presence of the Buyer or his representative is required at the recipient's address indicated in the order.

9.4. Upon delivery, the Buyer is required to verify the conformity of the Product with the order placed. Any damage to the packaging or anomalies must be reported upon delivery by marking the delivery note with the wording "accepted with reservation" and providing a brief description of the reason for the reservation.

9.5. The Seller is in no way responsible for delays in deliveries.

9.6. The Buyer has the right to request that delivery be carried out at his own expense by a forwarder indicated by him, with collection at the ItaliaStile headquarters.

ART. 10 - Obligations of the Buyer

10.1 . The Buyer undertakes to pay the price of the purchased goods as established in the General Conditions, unless otherwise agreed in the Order Confirmation.

10.2. The Buyer undertakes, once the online order process has been completed, to print and keep these General Conditions. The General Conditions are always available for consultation in the dedicated area of ​​the website www.italianstileb2b.it under the "General Conditions" heading.

10.3. The Buyer acknowledges that the information contained in this contract has, moreover, already been viewed and accepted by the Buyer himself, before expressing his desire to order.

ART. 11 - Invoicing

11.1 . For each order that is duly confirmed and paid, the Seller will issue a receipt and/or invoice for the goods shipped. The information provided by the Buyer at the time of ordering will be used to issue the receipt and/or invoice. No changes to the receipt and/or invoice will be possible after it has been issued.

ART. 12 - Warranty

12.1. The precious objects sold on the Site are made in small series through a combination of industrial, artisanal, and semi-artisanal production methods. Any small imperfections are not to be considered defects but rather characteristics that make each Product unique and authentic.

12.2 . The Buyer has the right to the legal guarantee according to the provisions of articles 1490 et seq. of the Italian Civil Code.

Complaints regarding the quality of the products and the related reporting of defects must be made within the peremptory deadline of 8 days from delivery, under penalty of forfeiture.

ART. 13 – Force majeure

13.1. The Seller assumes no responsibility for disruptions attributable to force majeure that prevent, in whole or in part, the execution of the contract within the expected timeframe. In such cases, the Seller is not liable to Customers for any damages, losses, and costs incurred as a result of the failure or delay in execution of the contract.

13.2. The Seller is not liable for damages resulting from disconnections or interruptions to the Site, or for any resulting data loss attributable to the Seller. In the event of force majeure, execution of the Order will be suspended. This suspension may last for a maximum period of 3 (three) months, after which the Parties may decide whether or not to cancel the Order.

ART. 14 - Contract archiving methods

14.1. Pursuant to art. 12 of Legislative Decree 70/2003, the Seller informs the Buyer that each order sent is stored in digital/paper format on the server at the Seller's headquarters according to confidentiality and security criteria.

ART. 15 – Intellectual and industrial property

15.1. The Site (and its content and graphics), the trademark, the domain name, the related subdomains, and all related intellectual and industrial property rights are the exclusive property of the Seller, are reserved to the Seller, and are not and will not be transferred or licensed under any circumstances to the Buyer. Therefore, the User or Buyer may not reproduce, duplicate, copy, redistribute, retransmit, or otherwise make available to third parties for any reason, or use the Sites and/or Site Content for purposes other than storage and/or consultation, without the prior express and formal approval of the Seller.

ART. 16 – Applicable law, Dispute resolution and competent court

16.1. The conditions of sale set forth herein are governed by Italian law, as is the agreement arising between the parties pursuant to these conditions.

16.2. Any dispute arising in relation to the validity, interpretation, execution and termination of the contracts stipulated by the Buyer with the Seller shall be under the exclusive jurisdiction of the Court of Vicenza.

16.3 In the event of a conflict between these conditions and the translation(s) provided below, the conditions drawn up in Italian shall prevail.

ART. 17 - Protection of confidentiality and processing of Buyer data

17.1. The Seller protects the privacy of its customers and guarantees that data processing complies with the provisions of the privacy legislation pursuant to Legislative Decree no. 196 of 30 June 2003 and subsequent amendments and additions.

17.2. Personal data, including personal and tax information, acquired directly and/or through third parties by the Seller, the data controller, are collected and processed in paper, electronic, and telematic form, in accordance with the processing methods, for the purpose of recording the order and activating the procedures for the execution of this contract and the related necessary communications, in addition to fulfilling any legal obligations, and to enable effective management of commercial relationships to the extent necessary to best perform the requested service (Article 24, paragraph 1, letter b), Legislative Decree 196/2003).

17.3. The Seller undertakes to treat the data and information transmitted by the Buyer confidentially and not to disclose them to unauthorized persons, nor to use them for purposes other than those for which they were collected, nor to transmit them to third parties. Such data may be disclosed only upon request by judicial authorities or other authorities authorized by law.

17.4. Personal data will be disclosed only to persons authorized to perform the activities necessary to execute the contract and disclosed exclusively for this purpose.

17.5. The provision of personal data by the Buyer is a necessary condition for the correct and timely execution of this contract. Failure to provide such data will prevent the Buyer's request from being processed.

17.6. In any case, the acquired data will be retained for a period of time no longer than necessary for the purposes for which they were collected or subsequently processed. Their deletion will be carried out securely.

17.7. The owner of the collection and processing of personal data is the Seller, to whom the Buyer may address any request at the company headquarters.

17.8. Anything sent to the Seller's email address (including email) (requests, suggestions, ideas, information, materials, etc.) will not be considered confidential information or data, must not violate the rights of others, and must contain valid, truthful, and non-infringing information. In any case, the Seller cannot be held liable for the content of such messages.

ART. 18 - Cookies

18.1. The website www.italianstileb2b.it uses "cookies." Cookies are electronic files that record information relating to the Buyer's browsing on the site (pages viewed, date and time of viewing, etc.) and allow the Seller to offer a personalized service to its buyers.
