General conditions of sale

PREMISES

These terms and conditions govern the sale of products on the website www.italianstileb2b.it and their use. The Seller reserves the right to modify or update these General Conditions of Sale and the Privacy Policy; such changes prevail over any previous provisions. The Buyer is required to carefully read the Terms and Conditions made available on the Website, in order to allow the Buyer to understand, store, and reproduce them pursuant to Article 12, paragraph 3, of Legislative Decree no. 70 of 9 April 2003. Contracts concluded with the Seller through the Website are governed by Italian law. The Terms and Conditions of Sale applicable to any Product sold on the Website and to any jewelry sales contract concluded between the Buyer and the Seller are set out below.

The use of the Site for the ordering or purchasing of products implies acceptance by Users and Buyers of these General Conditions, of the Terms of Use of the Site available at www.italianstileb2b.it and of the Privacy Policy, available at www.italianstileb2b.it , herein referred to in full, as well as of other notices that may be published on the Site at the time an order is placed and finally of all applicable laws and regulations.

ART. 1 – Definitions.

For the purposes of this agreement, the following definitions shall apply:

Seller : ITALIANSTILE SRL with registered office in Via dell'Artigianato n.13, 36043 Camisano Vicentino (VI) registered with the Chamber of Commerce of VICENZA, REA VI-226033 CF and VAT number IT02363660248.

General Terms and Conditions of Sale or Contract : the set of these contractual clauses that determine and define the relationships between the Seller and the Buyer.

Platform or Site:  the Site www.italianstileb2b.it

User:  any person who accesses the Site and continues to browse it

Buyer:  any person who places an order for products via the Site.

Products : goods, specifically jewelry, offered for sale through this site.

Purchase Order or Order: the purchase proposal made by the User through the procedures of the Site and in particular through the Cart.

Purchase : the onerous purchase of the above-mentioned products from the day of conclusion of the purchase or from the moment in which the Order Confirmation is received by the Buyer from the Seller.

Cart:  the phase of the purchasing process in which the User makes his/her purchase proposal.

Order Confirmation: the email communication sent by the Seller to the Buyer to confirm the Purchase Order.

ART. 2 - Object and Scope of Application.

2.1. These General Conditions of Sale concern the products referred to in Article 3 below and are valid between the Seller and any User making a purchase on the Site.

2.2. With the sales contract, the Seller sells and the Buyer purchases remotely via electronic means the goods (jewelry) represented and offered for sale on the website www.italianstileb2b.it

Before completing the Order procedure, the Buyer undertakes to view the characteristics of the goods represented and offered for sale on the website www.italianstileb2b.it .

2.3. Before completing the Order procedure, with the consequent obligation to pay, the Buyer undertakes to inform himself:

– on the total price of the goods including taxes, and on any other costs;

– on payment methods;

– on the delivery times of the goods;

– on the existence of the legal guarantee of conformity for the purchased goods;

ART. 3 – Description of the Products

3.1. The Site offers wholesale jewelry for sale through e-commerce. Product information, including product codes, is available on the Site, where the Buyer will find details of the main characteristics of each individual Product.

3.2. The seller reserves the right to change the limits on the quantities and/or types of Products that can be ordered online on the Site at any time. The style, models, colors, and prices of the Products described on the Site may be changed without notice.

3.3. All products offered are described and illustrated on the Site, in the respective sections. The images and product descriptions published on the Site www.italianstileb2b.it are for illustrative and demonstration purposes only and reproduce the actual characteristics of the products as faithfully as possible. Product photographs, however, do not constitute a contractual element, as they merely and symbolically represent the purchased Product. These images and descriptions may not be perfectly representative of the products and may also not correspond to the actual products due to the Internet browser and monitor used. Furthermore, some items on the site may appear slightly larger or smaller than actual dimensions because the images have been resized to fit the screen or due to the photographic techniques used. In the case of resized images, the products or parts thereof may be depicted larger than actual dimensions to clearly show details, or smaller to show the entire item. The images should therefore be considered indicative of the jewelry depicted.

Should the description and presentation on the site contain differences with the actual products, this will not affect the contractual agreements which will remain valid, nor will it determine any liability on the part of the Seller.

ART. 4 - Prices

4.1. All product prices displayed and indicated on the website www.italianstileb2b.it are expressed in € EURO.

4.2. The sales prices referred to in the previous point do not include VAT.

4.3 Shipping costs vary according to the weight and size of the package and will be communicated by the Seller in the Order Confirmation referred to in point 7.3.

4.4. The prices listed on the website www.italianstileb2b.it are subject to change. In any case, the prices published at the time of the Order will apply to the Buyer.

ART. 5 - Registration

5.1. In order to place orders on the Site, the User will receive an access link from Italianstile srl through which the User can register and create an account, choosing a username and password that meets certain minimum security criteria. The password is reserved for the person registering and is non-transferable. In the event of theft or loss, the Buyer is responsible for changing it or promptly requesting its deactivation.

5.2. Upon registration, the User guarantees to:

- having read, understood and accepted these General Conditions of Sale;

- be a legal entity duly registered and active;

- possess the specific registration requirements requested at the time of registration;

- comply with all legal and contractual provisions applicable to these General Conditions of Sale;

- be the legitimate owner of the data entered, which must be true, correct, and up-to-date.

5.3. Registration coincides with the opening of an account. Upon registration, the User will be asked to provide their company name, VAT number, registered office, email address, and a password. The email address provided during registration allows the Seller to notify the User of all messages relating to the Services, Products, and the Site in general.

5.4. The use of temporary email addresses for registration is prohibited. In cases of abuse, the Seller reserves the right to refuse registration, revoke it, and report it to the competent authorities for action. All data transmitted will be processed in compliance with privacy protection legislation. The Seller will use it to fulfill orders and, only with explicit consent, may it also be processed for the purpose of providing information on its initiatives, such as news or promotional discounts.

ART. 6 - Product Order Procedure

6.1. The User, through the website www.italianstileb2b.it , will be able to view and select the Products offered for sale and described in the relevant information sheets.

6.2. After having read and accepted the General Terms and Conditions and the Privacy Policy, the Buyer must add the Product(s) he/she has selected and wishes to purchase to the appropriate "Shopping Cart." Once the Product selection process has been completed by adding them to the Shopping Cart, the Buyer will submit the order using the appropriate link ("order") in his/her personal area, and the Order will be sent to the Seller.

The product(s) in your cart will be displayed in your personal area, where you can also view your previous order history and repeat orders for products already purchased previously.

ART. 7 - Conclusion and effectiveness of the contract

7.1. The contract between the Seller and the Buyer is concluded through the purchasing procedures set out below.

7.2. The applicable General Conditions of Sale are those in force at the time of the Order and available on the Site.

7.3. The sales contract is considered concluded upon acceptance of the Order by the Seller. Acceptance of the Order will be communicated by the Seller to the Buyer via an Order Confirmation email sent to the email address provided during registration.

The email contains the Buyer's data, the order number, the description and price of the purchased goods, the delivery options (to the address indicated by the Buyer or to the headquarters of Italianstile srl) with an indication of the shipping costs (if shipping is paid by the Seller), the delivery times, the payment methods and terms and the link to print and keep a copy of these conditions.

7.4. The Buyer undertakes to read and verify the accuracy of the data and all additional data reported in the Order Confirmation and to promptly communicate to the Seller any changes and/or additions to be made.

7.5. The Seller reserves the right to evaluate the acceptance of orders received and may refuse or otherwise not process purchase orders that are incomplete or incorrect, or in the event of Product unavailability or that require delivery of the ordered Products to certain geographical areas that are difficult to reach. The Seller will notify the Buyer of any inability to accept orders received as soon as possible from the moment the Buyer submits the Order.

7.6. Product availability indicated on the site should be considered purely indicative.

If, following the sending of the order confirmation email by the Seller, there are cases of definitive unavailability (total or partial) of the goods, the same confirmation will be revoked (totally or partially) and the Buyer will be notified via email, with the simultaneous refund of any amount paid by the latter.

In the event of temporary unavailability (partial or total) of the ordered Products in stock, subsequent to the order confirmation sent by the Seller, ItalianStile srl will notify the Buyer at the email address provided by the Buyer during registration. In this case, the Buyer, after checking the lead times for the ordered Products, will have the option to wait for their availability and then confirm the purchase or to terminate the contract, by notifying the Company within the following 48 business hours. In this case, the Company will immediately refund any payment made by the Buyer.

In none of the above cases will the Buyer be entitled to any compensation or damages.

ART. 8 - Payment Methods and Terms

8.1. All payments by the Buyer may be made exclusively by bank transfer or cashier's check, or by any other means indicated by the Seller. No other payment method will be deemed compliant with the agreement and will therefore be invalid.

8.2 Payment Terms. Payment for the Products must be made within 24 hours of Order Confirmation and in any case before delivery, unless otherwise agreed in writing with the Seller.

8.3. Products will be shipped only after payment for the goods has been received. The Seller is authorized to withhold the ordered goods, delaying delivery, until full payment is received.

ART. 9 - Shipping times and delivery methods

9.1. Delivery costs are the responsibility of the Buyer and will be indicated in the Order Confirmation.

9.2. The Seller will deliver the purchased Products using specialized carriers, with express service, Monday to Friday, excluding holidays and national holidays. Products shipped to Italy are delivered approximately 24-48 hours after the Order is shipped, and within 7 working days in remote areas and islands. Products shipped within the European Union are delivered approximately 5-8 working days after shipment. The delivery times indicated above are purely indicative and not binding.

9.3. For the delivery of the Products, the presence of the Buyer or his representative is required at the recipient's address indicated in the order.

9.4. Upon delivery, the Buyer is required to verify the conformity of the Product with the order placed. Any damage to the packaging or anomalies must be reported upon delivery by marking the delivery note with the wording "accepted with reservation" and providing a brief description of the reason for the reservation.

9.5. The Seller is in no way responsible for delays in deliveries.

9.6. The Buyer has the right to request that delivery be carried out at his own expense by a forwarder indicated by him, with collection at the ItaliaStile headquarters.

ART. 10 - Obligations of the Buyer

10.1 . The Buyer undertakes to pay the price of the purchased goods as established in the General Conditions, unless otherwise agreed in the Order Confirmation.

10.2. The Buyer undertakes, once the online order process has been completed, to print and keep these General Conditions. The General Conditions are always available for consultation in the dedicated area of ​​the website www.italianstileb2b.it under the "General Conditions" heading.

10.3. The Buyer acknowledges that the information contained in this contract has, moreover, already been viewed and accepted by the Buyer himself, before expressing his desire to order.

ART. 11 - Invoicing

11.1 . For each order that is duly confirmed and paid, the Seller will issue a receipt and/or invoice for the goods shipped. The information provided by the Buyer at the time of ordering will be used to issue the receipt and/or invoice. No changes to the receipt and/or invoice will be possible after it has been issued.

ART. 12 - Warranty

12.1. The precious objects sold on the Site are made in small series through a combination of industrial, artisanal, and semi-artisanal production methods. Any small imperfections are not to be considered defects but rather characteristics that make each Product unique and authentic.

12.2 . The Buyer has the right to the legal guarantee according to the provisions of articles 1490 et seq. of the Italian Civil Code.

Complaints regarding the quality of the products and the related reporting of defects must be made within the peremptory deadline of 8 days from delivery, under penalty of forfeiture.

ART. 13 – Force majeure

13.1. The Seller assumes no responsibility for disruptions attributable to force majeure that prevent, in whole or in part, the execution of the contract within the expected timeframe. In such cases, the Seller is not liable to Customers for any damages, losses, and costs incurred as a result of the failure or delay in execution of the contract.

13.2. The Seller is not liable for damages resulting from disconnections or interruptions to the Site, or for any resulting data loss attributable to the Seller. In the event of force majeure, execution of the Order will be suspended. This suspension may last for a maximum period of 3 (three) months, after which the Parties may decide whether or not to cancel the Order.

ART. 14 - Contract archiving methods

14.1. Pursuant to art. 12 of Legislative Decree 70/2003, the Seller informs the Buyer that each order sent is stored in digital/paper format on the server at the Seller's headquarters according to confidentiality and security criteria.

ART. 15 – Intellectual and industrial property

15.1. The Site (and its content and graphics), the trademark, the domain name, the related subdomains, and all related intellectual and industrial property rights are the exclusive property of the Seller, are reserved to the Seller, and are not and will not be transferred or licensed under any circumstances to the Buyer. Therefore, the User or Buyer may not reproduce, duplicate, copy, redistribute, retransmit, or otherwise make available to third parties for any reason, or use the Sites and/or Site Content for purposes other than storage and/or consultation, without the prior express and formal approval of the Seller.

ART. 16 – Applicable law, Dispute resolution and competent court

16.1. The conditions of sale set forth herein are governed by Italian law, as is the agreement arising between the parties pursuant to these conditions.

16.2. Any dispute arising in relation to the validity, interpretation, execution and termination of the contracts stipulated by the Buyer with the Seller shall be under the exclusive jurisdiction of the Court of Vicenza.

16.3 In the event of a conflict between these conditions and the translation(s) provided below, the conditions drawn up in Italian shall prevail.

ART. 17 - Protection of confidentiality and processing of Buyer data

17.1. The Seller protects the privacy of its customers and guarantees that data processing complies with the provisions of the privacy legislation pursuant to Legislative Decree no. 196 of 30 June 2003 and subsequent amendments and additions.

17.2. Personal data, including personal and tax information, acquired directly and/or through third parties by the Seller, the data controller, are collected and processed in paper, electronic, and telematic form, in accordance with the processing methods, for the purpose of recording the order and activating the procedures for the execution of this contract and the related necessary communications, in addition to fulfilling any legal obligations, and to enable effective management of commercial relationships to the extent necessary to best perform the requested service (Article 24, paragraph 1, letter b), Legislative Decree 196/2003).

17.3. The Seller undertakes to treat the data and information transmitted by the Buyer confidentially and not to disclose them to unauthorized persons, nor to use them for purposes other than those for which they were collected, nor to transmit them to third parties. Such data may be disclosed only upon request by judicial authorities or other authorities authorized by law.

17.4. Personal data will be disclosed only to persons authorized to perform the activities necessary to execute the contract and disclosed exclusively for this purpose.

17.5. The provision of personal data by the Buyer is a necessary condition for the correct and timely execution of this contract. Failure to provide such data will prevent the Buyer's request from being processed.

17.6. In any case, the acquired data will be retained for a period of time no longer than necessary for the purposes for which they were collected or subsequently processed. Their deletion will be carried out securely.

17.7. The owner of the collection and processing of personal data is the Seller, to whom the Buyer may address any request at the company headquarters.

17.8. Anything sent to the Seller's email address (including email) (requests, suggestions, ideas, information, materials, etc.) will not be considered confidential information or data, must not violate the rights of others, and must contain valid, truthful, and non-infringing information. In any case, the Seller cannot be held liable for the content of such messages.

ART. 18 - Cookies

18.1. The website www.italianstileb2b.it uses "cookies." Cookies are electronic files that record information relating to the Buyer's browsing on the site (pages viewed, date and time of viewing, etc.) and allow the Seller to offer a personalized service to its buyers.
